END-USER LICENSE AGREEMENT (EULA) FOR GTFS API ACCESS
PLEASE READ THIS EULA CAREFULLY BEFORE USING THE API ACCESS.
This End-User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) and Southern California Regional Rail Authority (d.b.a Metrolink) for the use of GTFS RT API, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("API Access").
By using the API Access, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not use the API Access.
Grant of License. Metrolink grants you a non-exclusive, non-transferable license to use the API Access solely for your own internal business purposes and subject to the limitations set forth in this EULA. You may not rent, lease, lend or sublicense the API Access.
Ownership. The API Access is owned by Metrolink and its licensors and is protected by copyright laws and international treaty provisions. You acknowledge that no title to the intellectual property in the API Access is transferred to you. You further acknowledge that title and full ownership rights to the API Access will remain the exclusive property of Metrolink and its licensors, and you will not acquire any rights to the API Access except as expressly set forth in this EULA.
Restrictions. You may not copy, modify, distribute, sell, or transfer the API Access or any part thereof without the prior written consent of Metrolink. You may not reverse engineer, decompile, or disassemble the API Access, except to the extent that such activity is expressly permitted by applicable law. You may not use the API Access for any unlawful purpose, or in any manner that infringes the rights of Metrolink or any third party.
Support. Metrolink may provide support services related to the API Access as described in the documentation or as otherwise agreed upon by Metrolink and you. Any supplemental software code provided to you as part of the support services shall be considered part of the API Access and subject to the terms and conditions of this EULA.
Termination. This EULA will terminate automatically if you fail to comply with any of the terms and conditions of this EULA. This Agreement can also be terminated upon 30 days prior written notice to the other party. Upon termination, you must immediately cease all use of the API Access and destroy all copies of the API Access related data in your possession.
Disclaimer of Warranty. API Access is provided "AS IS" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. Metrolink does not warrant that the API Access will meet your requirements or that the operation of the API Access will be uninterrupted or error-free.
Limitation of Liability. In no event shall Metrolink or its licensors be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the API Access, even if Metrolink has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
Governing Law. The laws of the State of California shall govern all rights and obligations under this Agreement, without giving effect to any principles of conflicts of laws. This Agreement shall deemed entered into in the State of California for all purposes.
Entire Agreement. This Agreement constitutes the complete and exclusive agreement between Metrolink and Licensee with respect to the subject matter hereof and supersedes all prior oral or written understandings, communications, or agreements not specifically incorporated herein. Metrolink reserves the right to modify or revoke this agreement at any time.
